END USER LICENSE AGREEMENT (EULA) FOR PSEDIWHEELCONNECT

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT" OR "EULA") CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE PSEDIWHEELCONNECT PRESTASHOP MODULE ("SOFTWARE") PROVIDED BY VMAT LABS ("LICENSOR").
BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ("LICENSEE" OR "YOU") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
THIS SOFTWARE IS LICENSED, NOT SOLD. THIS AGREEMENT IS A B2B (BUSINESS-TO-BUSINESS) CONTRACT AND ONLY APPLIES TO COMMERCIAL OR PROFESSIONAL USE. CONSUMER PROTECTION LAWS ARE NOT APPLICABLE.
1. LICENSE GRANT & SCOPE
Licensor grants You a non-exclusive, non-transferable, revocable, limited license to install and use the Software on PrestaShop e-commerce installations under the following strict conditions:
– One (1) Single License Key matches one (1) Production Domain Name (URL).
– Licensee is permitted to run one (1) additional development, testing, or staging environment for the same store, provided that the staging environment is not publicly accessible.
– Any multishop PrestaShop installation that uses separate domains requires a separate license key for each active production domain name.
2. LICENSE VALIDATION & API VERIFICATION
– The Software contains automated verification features that communicate with Licensor's licensing server (https://app.vmatlabs.local/api/check-license) to check the validity of the license key.
– The validation check occurs once every 24 hours.
– The Software utilizes a fail-open architecture: in the event that Licensor's licensing validation server is temporarily unreachable, the Software will continue to operate normally using cached verification state.
– Licensee agrees to allow the Software to communicate with Licensor's verification endpoints for this purpose.
3. RESTRICTIONS
Licensee shall not, and shall not permit any third party to:
– Redistribute, resell, lease, sublicense, rent, or transfer the Software or any parts of its code to any third party.
– Modify, adapt, translate, or create derivative works based on the Software for the purpose of redistribution, commercial sale, or packaging as a separate product.
– Reverse-engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law.
– Remove, alter, or obscure any proprietary notices, copyright information, or trademark notices on the Software.
– Bypass, disable, or circumvent any license validation or verification mechanisms embedded in the Software.
4. INTELLECTUAL PROPERTY RIGHTS
The Software, including its source code, design, icons, layout, and documentation, is the exclusive intellectual property of VMAT Labs and is protected by international copyright laws and treaty provisions. All rights not expressly granted to You in this Agreement are reserved by VMAT Labs.
5. SUPPORT AND UPDATES
– Annual License Subscribers receive priority support via the ticket system and access to all Software updates (including bug fixes, performance improvements, compatibility updates, and custom supplier integrations as defined in terms) for a period of twelve (12) months from the date of purchase. Continued support and updates require subscription renewal.
– Lifetime License Owners receive maximum priority support and lifetime access to all updates for the Software.
– Assisted Installation is a separate one-time paid service and is subject to the terms of the service agreement.
6. NO WARRANTY (DISCLAIMER)
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT IT WILL OPERATE WITHOUT INTERRUPTION, OR THAT IT IS ERROR-FREE.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. LICENSOR'S CUMULATIVE LIABILITY FOR ALL CLAIMS RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL LICENSE FEES PAID BY LICENSEE FOR THE SOFTWARE.
8. TERMINATION
This Agreement is effective until terminated. Your rights under this license will terminate automatically without notice from Licensor if You fail to comply with any term(s) of this Agreement. Upon termination of the license, You shall cease all use of the Software and uninstall it from all servers and domains.
9. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of Italy, without regard to conflicts of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Italy.
